Eversheds Sutherland conseille le Groupe Avril dans le cadre de la cession de Theseo à Lanxess

    Le Groupe agro-industriel Avril, 4e acteur agroalimentaire français spécialisé dans les filières huiles et protéines, est un groupe leader dans le domaine agro-alimentaire, nutrition et expertises animales, énergies renouvelables, chimie verte et fertilisation organique.

    Eversheds Sutherland a conseillé Avril dans la cession de la société Théséo, sa BU biosécurité spécialisée dans les produits nutritionnels et d’hygiène destinés à l’élevage présente en France, Allemagne, Brésil et Royaume-Uni, au groupe chimique allemand Lanxess, pour un montant de €70m. Le groupe Lanxess complète ainsi sa branche «produits de protection des matériaux» et consolide son réseau de distribution internationale.

    Avril était conseillé par Eversheds Sutherland avec Jacques Mestoudjian, associé, sur les aspects fiscaux de l’opération, par le cabinet Karman Associés (Carine Rohou-Borsello) sur les aspects corporate ainsi que par Accuracy (Nicolas Bourdon et Guillaume Roux) sur les aspects financiers. Lanxess était par ailleurs conseillé par les cabinets Freshfields Bruckhaus Deringer et KPMG Avocats.
